Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FiscAlert software-as-a-service platform ("Service") operated by MERTENS WOUTER PERSOANĂ FIZICĂ AUTORIZATĂ, Str. FERVENȚIA Nr. 60, Sat Dumbrăvița, Com. Dumbrăvița, Jud. Timiș, Romania, CUI 51598945, ONRC F2025011913004 ("we", "us", or "Company").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of Service

FiscAlert provides automated monitoring of Romanian fiscal documents published in the ANAF SPV (Spațiul Privat Virtual) system, AI-powered translation and summarisation of those documents, and related billing and notification features. The Service is provided on a subscription basis.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter contracts. If you use the Service on behalf of a legal entity, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

You must provide accurate information when creating your account. You are responsible for keeping your password confidential and for all activity under your account. Use a strong, unique password and a password manager such as https://keepass.info/; never reuse the same password across services. Notify us immediately at fiscalert.ro/contact if you suspect unauthorised access.

4. Subscription Plans and Free Trial

4.1 Plans

We offer multiple subscription tiers (Solo and Multi) and optional add-ons. Current pricing is shown at /pricing. Prices are shown exclusive of VAT. Billing is exclusively done in RON. Prices can be shown in different currencies depending on your selection, for information purposes only.

4.2 Free Trial

New accounts receive a 30-day free trial. A valid payment card is requested when you select a plan and start the trial; creating an account does not require a card. If you cancel before day 30, your card is not charged. If you do not cancel, the card on file is charged at the end of the trial period.

4.3 Recurring Billing

Subscriptions renew monthly. Stripe processes all payments. You may cancel at any time via Settings → Billing → Manage subscription. Cancellation takes effect at the end of the current billing period; you retain access until that date. Except where mandatory consumer withdrawal or refund rights apply, we do not issue refunds for partial months.

4.4 Past-Due Payments

If a payment fails, Stripe may retry it according to the billing schedule configured for the subscription and we will notify you. While payment remains overdue, we may restrict paid features, suspend, or cancel the subscription. The timing of retries and cancellation is shown in Stripe’s billing communications and portal.

4.5 Price Changes

We will give you at least 30 days' notice of price increases by email. Continued use of the Service after the effective date of a price change constitutes acceptance of the new price.

4.6 Consumer Right of Withdrawal

If you are a consumer acting outside your trade, business, craft or profession, you may withdraw from a distance subscription contract within 14 days after it is concluded, without giving any reason, under Directive 2011/83/EU and Romanian Government Emergency Ordinance No. 34/2014. Use the online withdrawal function in Settings → Billing, or send an unequivocal withdrawal statement before the deadline through fiscalert.ro/contact; sending it in time is sufficient. This statutory right is separate from ordinary subscription cancellation and overrides any contrary no-refund term.

Our 30-day free trial does not replace or waive the statutory withdrawal right. When the future price and automatic conversion to a paid subscription were clearly disclosed before the subscription was concluded, the 14-day period begins once at that conclusion and does not restart solely because the free trial ends or the subscription renews.

If you expressly request that a paid service begin during the withdrawal period and then withdraw, we may charge only the legally permitted proportionate amount for the service actually supplied up to your withdrawal; no fee is charged for a genuinely free trial. We will reimburse any amount due without undue delay and no later than 14 days after receiving your withdrawal, using the original payment method unless you expressly agree otherwise, and without a reimbursement fee.

AI-generated translations and summaries are provided for informational convenience. We run automated checks to preserve numbers, dates, CUI values, and amounts, but AI output can contain errors. Translations are advisory only. Always verify critical values against the original Romanian document before acting on them. We are not liable for any decisions made based on any information or data provided by the Service.

7. ANAF System Dependency

The Service relies on ANAF’s SPV system, e-Factura system, and other information, which is operated by the Romanian Government and may experience downtime, API changes, or access restrictions without notice. We are not responsible for delays or failures in document retrieval caused by ANAF system unavailability.

8. System Requirements

Certain features of the Service — in particular access to your ANAF SPV (Spațiul Privat Virtual) inbox — depend on FiscAlert Connect, a small companion application you install on your own computer. To use those features you need:

Features that do not require SPV access (such as creating an account, managing your subscription, and public company lookups) work in any modern browser without FiscAlert Connect.

We do not guarantee compatibility with any operating systems, browsers, certificates, hardware, software or others. By offering a trial subscription period of one month during which you will not be charged and which can be cancelled at any time, you can test the compatibility of your situation with the Service.

9. Intellectual Property

We own all intellectual property rights in the Service, including software, design, and documentation. You own all data you upload to or retrieve through the Service. We grant you a limited, non-exclusive, non-transferable licence to use the Service for your own internal business purposes during your active subscription.

10. Privacy

Our Privacy Policy and Data Processing Agreement are incorporated by reference. They explain how the Service processes personal data, including CNP, and the safeguards we apply under GDPR and Law 190/2018.

11. Limitation of Liability

To the maximum extent permitted by Romanian law, our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the greater of (a) the amounts paid by you in the 12 months preceding the claim, or (b) €100.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.

12. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of applicable law; or (c) your infringement of any third-party rights.

13. Termination

Either party may terminate this agreement at any time. You may cancel via Settings → Billing. We may suspend or terminate your account immediately for material breach of these Terms or non-payment, or otherwise with 14 days' notice. Cancelling a subscription does not by itself delete the account. You may delete the account from Settings; service data and records are then deleted, anonymised, or retained only as described in the Privacy Policy.

14. Governing Law and Disputes

These Terms are governed by Romanian law. Any dispute shall be subject to the exclusive jurisdiction of the courts of Timișoara, Romania, except where mandatory consumer protection laws give you broader rights.

15. Changes to These Terms

We may update these Terms. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
